1. Services Provided
Authentic Transformation Corporation (“Company”) (“ATC”) (“Coach”) agrees to provide Coaching services to the Client.
2. Term of Agreement
This Agreement shall commence on the date stated above and will end upon completion of deliverables or until terminated by either party as outlined in Section 7.
3. Payment Terms and Late Fees
The Client agrees to pay the Coach in full prior to the delivery of services. A full list of services can be found at www.authentictransformation.ca. Receipts will be issued upon confirmation of payment.
The Client is encouraged to communicate proactively if any payment issues arise. Please note that resolving failed or late payments requires administrative coordination and time from multiple team members. To help offset these additional operational costs, the following administrative and late payment fees apply:
• Failed Payment Fee: A $50 CAD administrative fee will be charged for each failed or declined payment.
• Late Payment Fee (31–60 Days): A late fee of 3% of the outstanding amount, or $150 CAD, whichever is greater, will be applied to accounts overdue by more than 30 days.
• Late Payment Fee (61–90 Days): If the balance remains unpaid for more than 60 days, a 5% late fee, or $250 CAD—whichever is greater—will be applied.
Collections: If payment remains outstanding after 90 days, the invoice may be referred to a collections agency. The Client may also be held responsible for any reasonable recovery and legal costs incurred in accordance with Alberta law.
4. Confidentiality
a) Both parties acknowledge that during the term of this Agreement, confidential information may be shared with one another. Both parties agree to keep all information confidential and not disclose it to any third parties without prior written consent.
b) The Client acknowledges that, for the purpose of providing the highest quality services, the Coach may confer with other Consultants and/or Coaches and team members employed by Authentic Transformation. This collaboration is intended to leverage the collective expertise of the Authentic Transformation team to better address the Client’s needs.
c) Any information shared within the Authentic Transformation team will be used exclusively to enhance the services provided to the Client. It will not be disclosed to third parties without the Client’s prior written consent, except in cases where records are subpoenaed or if the Client is at risk of self-harm or harm to others.
5. Intellectual Property
All materials, processes, and tools provided by the Consultant/Coach/Facilitator remain the intellectual property of Authentic Transformation. The Client is granted a non-exclusive, non-transferable license to use these materials solely for their personal well-being. The Client agrees not to resell, distribute, share, or claim ownership of any intellectual property or materials provided by Authentic Transformation.
6. Responsibilities of the Client
The Client agrees to:
• Be punctual for their sessions and provide 24 hours’ notice if they need to reschedule. Any missed sessions are forfeited without refund or rescheduling unless the Coach decides to omit this rule.
• Provide timely and accurate information necessary for service delivery.
• Actively participate in coaching sessions.
• Respect the confidentiality of all proprietary materials and not share them without the Company’s consent.
• Provide regular feedback and communicate goals, questions, needs, and concerns.
• Comply with applicable laws and regulations.
• Avoid misrepresentation of themselves or the Coach’s work.
7. Termination of Services
Either party may terminate this Agreement at any time with 2 days' written notice when reasonable or immediately if needed. Upon termination, the Client agrees to pay for all services rendered up to the termination date, regardless of any change of mind by the Client. If the Company initiates the termination, it will provide a refund for any services not rendered.
8. Limitation of Liability
The Coach shall not be liable for any indirect, incidental, special, or consequential damages arising from the services provided under this Agreement.
o Waiver of Liability: The Client assumes full responsibility for any decisions or actions taken based on the services.
o No Legal Claims or Lawsuits: The Client agrees not to initiate legal proceedings against Authentic Transformation, its Consultants, Coaches, employees, or affiliates related to the services provided under this Agreement. The Client releases Authentic Transformation from any claims arising out of the services provided, except for claims resulting from gross negligence or willful misconduct.
9. Privacy Policy
Authentic Transformation Corporation values your privacy and are committed to protecting your personal information. This Privacy Policy outlines how we collect, use, and protect your data.
i. Information Collection
We collect personal and company information, including names, contact details, and e-transfer payment information, to identify client needs and better serve you. Credit card payments are processed through Stripe, a third-party system, and we recommend reviewing their policies. Stripe's privacy policy can be found at https://stripe.com/privacy.
This information helps us provide and improve our services, process transactions, and communicate with you effectively.
ii. Use of Information
We use your information solely for providing services, responding to inquiries, and sending relevant updates or promotional content, if you opt-in. We do not share or sell your personal information with third parties.
iii. Data Security
We implement appropriate security measures to protect your data from unauthorized access, alteration, or disclosure.
iv. Your Rights
You have the right to access, correct, or request deletion of your personal information. To exercise these rights, please contact us at community@authentictransformation.ca.
v. Changes to Policy
We may update this Privacy Policy periodically. Any changes will be communicated to you via email or our website: https://authentictransformation.ca/privacy/.
By using our services, you consent to the collection and use of your information as described in this Privacy Policy.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and negotiations.
12. Amendments
Any modifications to this Agreement must be in writing and signed by both parties.
13. Goodwill and Good Faith
Both parties commit to act in good faith and with goodwill throughout this Agreement. Services will be delivered with integrity and professionalism, ensuring mutual respect and cooperation.
14. Acknowledgment
The Client acknowledges having read and understood this Agreement and agrees to its terms. The Client has had the opportunity to seek independent legal advice before signing.
15. Acceptance
The parties have executed this Agreement as of the date this agreement was first signed below.
